Terms of Service

1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services

OFFBS provides design, development, and AI integration services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or statement of work ("SOW") agreed upon by both parties.

We reserve the right to refuse service to anyone for any reason at any time.

3. Project Proposals & Acceptance

All projects begin with a written proposal that includes:

  • Scope of work and deliverables
  • Timeline and milestones
  • Total cost and payment schedule
  • Any assumptions or dependencies

A project is considered accepted upon receipt of signed proposal or written confirmation (including email) and the initial payment.

4. Payment Terms

Unless otherwise specified in the project proposal:

  • Initial Payment: 50% of the total project cost is due upon project acceptance to begin work.
  • Final Payment: The remaining 50% is due upon project completion, before final deliverables are released.
  • Milestone Payments: Larger projects may be structured with milestone-based payments as specified in the SOW.

Invoices are due within 14 days of receipt. Late payments may incur a 1.5% monthly interest charge. We accept payment via bank transfer and major credit cards.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide timely feedback and approvals at designated milestones
  • Supply all necessary content, assets, and information as requested
  • Designate a single point of contact for project communications
  • Review and test deliverables within the agreed-upon timeframe

6. Revisions & Change Requests

Each project includes a reasonable number of revisions as specified in the proposal. Additional revisions or changes to the project scope ("change requests") may result in additional charges and timeline adjustments.

All change requests must be submitted in writing and will be evaluated for impact on timeline and cost before approval.

7. Intellectual Property

Upon receipt of final payment:

  • Client Ownership: All custom work created specifically for the project (designs, code, content) becomes the property of the client.
  • Third-Party Assets: Any third-party software, libraries, or assets remain subject to their respective licenses.
  • Pre-existing Materials: OFFBS retains ownership of any pre-existing frameworks, tools, or components used in the project, with a perpetual license granted to the client for use within the project.

We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business information shared during the course of the project. This obligation survives the termination of the project.

9. Project Termination

Either party may terminate a project with 14 days written notice. In the event of termination:

  • Client is responsible for payment of all work completed up to the termination date
  • Any initial deposit is non-refundable once work has commenced
  • Client will receive all deliverables completed up to the termination date upon final payment

10. Warranties & Liability

We warrant that our work will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty period after project completion to address any bugs or issues in our deliverables.

To the maximum extent permitted by law, OFFBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the total amount paid for the project.

11. Indemnification

Client agrees to indemnify and hold harmless OFFBS and its employees from any claims, damages, or expenses arising from client-provided content, materials, or the use of deliverables in ways not authorized.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation or mediation before pursuing other remedies.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
